Job Overview:

A leading law firm is seeking an experienced transactional/regulatory attorney with substantial expertise in the Investment Company Act of 1940 (ICA) and the Investment Advisers Act of 1940 (IAA). The ideal candidate will have experience advising clients on regulatory compliance, securities laws, and investment management issues. This role is well-suited for a partner or counsel-level attorney looking to supplement an existing book of business or for an attorney seeking a part-time opportunity. Remote work may be an option depending on jurisdiction.

Location:

  • Washington, DC

Duties:

  • Advise clients on compliance with ICA and IAA regulations.

  • Provide legal counsel on market regulation matters related to investment companies and advisers.

  • Represent clients before regulatory agencies, including the Securities and Exchange Commission (SEC).

  • Assist with fund formation, structuring, and compliance matters.

  • Draft and review legal documents, including advisory agreements, regulatory filings, and disclosure documents.

  • Conduct regulatory risk assessments and provide strategic guidance.

  • Collaborate with internal teams and external stakeholders on complex financial transactions.

Requirements:

  • Substantial expertise in the Investment Company Act of 1940 and the Investment Advisers Act of 1940.

  • Experience working for the SEC or a law firm handling investment management regulations preferred.

  • Strong understanding of market regulation practices and securities laws.

  • Ability to manage complex regulatory and compliance matters independently.

  • Strong research, analytical, and problem-solving skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in a state bar, with eligibility to practice in the relevant jurisdiction.

Skills:

  • Expertise in investment management law and securities regulation.

  • Strong contract drafting and negotiation abilities.

  • Excellent written and verbal communication skills.

  • Ability to work independently and manage multiple regulatory matters simultaneously.

  • Strong client management and business development skills.
