Responsibilities and Practice:

- Entity formation and structuring of transactions
- Negotiating and drafting complex transaction documents
- Managing transaction due diligence processes, closings, and checklists
- Familiarity with federal and state securities laws and filings
- Building client relationships
- Collaborating with passionate and dedicated lawyers

Position Requirements:

Technical Skills:

- Sole experience in handling the entire closing process of client deals
- Proficient in negotiating and closing equity and debt financings, mergers, and acquisitions
- Experience in advising clients on compliance and general business matters
- Minimum of 8 years of experience in corporate, securities, financing, governance, M&A, and general business transactions

Other Requirements:

- Must be licensed to practice law in the State of Utah and in good standing
- Willingness to obtain license in the State of Utah if not currently licensed
