Job Responsibilities:
- Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and financing documents.
- Conduct thorough due diligence and research on potential investment opportunities.
- Advise clients on regulatory compliance issues related to private equity transactions.
- Assist in the structuring and formation of private equity funds.
- Provide guidance on transactions, corporate governance matters, and securities regulations.
- Collaborate with cross-functional teams to ensure the seamless execution of transactions.
- Lead various parts of transactions independently.
- Supervise and professionally develop junior colleagues on the team.
- Stay updated on industry trends, legal developments, and best practices in private equity law.
Education and Experience Information:
Candidates must possess:
- 4 – 6 years of proven legal experience working on private equity transactions, preferably at a large law firm, including representing private equity and strategic investors.
- Strong knowledge of corporate law and securities regulations.
- Excellent drafting, negotiation, and analytical skills.
- The ability to work effectively to manage priorities in a fast-paced and deadline-driven environment.
- A . degree from an accredited law school.
- Admission, in good standing, to practice in the state of Massachusetts.
