Are you an experienced attorney looking to join a dynamic and growing law firm? Clark Hill PLC is seeking a Corporate Associate with at least 4 years of experience to join our Corporate/Non-Profit Business Unit in either our Birmingham or Detroit office. This is a client-facing role where you will have the opportunity to work with tax-exempt entities and nonprofit organizations, providing them with legal advice and guidance throughout the life cycle of their entity.

Key Responsibilities:

- Provide board governance advice
- Assist with legal entity formation and filings
- Create templates for various legal documents
- Prepare and file IRS exemption applications
- Advise on unrelated business taxable income
- Draft and negotiate contracts
- Conduct state and federal tax research
- Possess strong interpersonal and communication skills
- Be detail-oriented and possess a solid work ethic

Qualifications:

- At least 4 years of experience in corporate law, specifically with tax-exempt entities and nonprofit organizations
- Currently licensed to practice law in the State of Michigan
- Strong academic credentials

Compensation:

- Salary range of $150,000 - $190,000 annually
- Additional factors such as experience, qualifications, and market data may influence actual compensation
- Eligible for annual discretionary bonus
