Job Title: Americas GCS Distribution AVP
Job Responsibilities:
The Americas GCS Distribution Assistant Vice President (AVP) will join the Legal team with the primary goal of protecting the company, its employees, and its brands while ensuring global competitiveness and compliance with legal standards. The role involves risk mitigation, managing strategic transactions, and overseeing business contracts. The AVP will independently manage a portfolio of 25-30 negotiations of master agreements or amendments, primarily focusing on ISDA agreements. The responsibilities include direct negotiation with clients, coordination with internal teams such as onboarding, credit teams, collateral management, treasury, tax, sales, and trading teams. The AVP will ensure that management information (MI) is adequately captured by updating internal systems and managing data efficiently. Additional responsibilities include staying updated on regulatory changes, taking ownership of capacity and authority checks, and conducting due diligence, including netting and collateral enforceability. The role also involves ensuring compliance with applicable laws and regulations, coordinating with internal and external stakeholders, creating and managing legal documents, supporting transactions, and developing and implementing transaction processes and procedures. The AVP is expected to identify and communicate legal advice on applicable laws, rules, and regulations, and ensure that these are effectively allocated within the relevant policies, standards, and controls.
Education and Experience Information:
Candidates for the AVP Legal Counsel position should preferably have a Law Degree and possess 3-5 years of experience in the financial industry with a focus on derivatives master documentation (ISDA), DF protocol, FIA execution agreements, collateral arrangements, and credit support annexes. Experience with account control agreements is also required. Additional skills that are highly valued include familiarity with securities financing documentation, knowledge of asset managers, familiarity with industry legal opinions, and additional language skills. Candidates may be assessed on key critical skills relevant for success in the role, such as risk and controls, change and transformation, business acumen, strategic thinking, and digital and technology, in addition to job-specific technical skills.
