Job Overview:
A respected national law firm is actively seeking a Corporate Securities Attorney with 5–12 years of experience to support its Corporate Practice Group. This attorney will work closely with public and private companies on securities regulatory compliance, capital markets transactions, and corporate governance. The role is suited for professionals with strong knowledge of SEC and exchange-related filings, and offers flexibility to work from any firm office or remotely within the .

Location:

  • Austin, TX

Duties:

  • Prepare and file documents with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise clients on securities law compliance and public disclosure obligations

  • Draft registration statements, proxy statements, and periodic reports (10-K, 10-Q, 8-K)

  • Provide guidance on capital markets transactions and private placements

  • Counsel clients on board governance and fiduciary duties

  • Stay current on regulatory changes and advise clients on their impact

  • Collaborate with internal teams on multi-disciplinary transactions

Requirements:

  • 5–12 years of corporate law experience with a focus on securities matters

  • Deep understanding of . securities regulations and SEC filing requirements

  • Experience working with public companies and capital markets transactions

  • Ability to manage a dynamic caseload and meet regulatory deadlines

  • Detail-oriented with a proactive, client-focused approach

Education:

  • Juris Doctor (.) from an accredited law school

Certifications:

  • Active license to practice law in the candidate’s home jurisdiction

  • Eligibility for admission without examination in other jurisdictions (as applicable)

Skills:

  • Excellent legal research, writing, and drafting skills

  • Strong interpersonal and communication abilities

  • High-level analytical and problem-solving capabilities

  • Skilled in client counseling and risk assessment

  • Able to work independently and as part of a collaborative legal team
