Job Title: Legal Counsel, Commercial

Job Responsibilities:
- Draft, advise, and negotiate client investment agreements and other contracts.
- Provide legal support across all aspects of the company's business, encompassing investment management/advisory, investment research, and operations.
- Review and analyze a range of . local, state, federal, and international rules and regulations impacting the company and its clients.
- Lead and participate in various company-wide legal and regulatory training sessions.
- Offer legal support to the Compliance and Risk teams.
- Address other legal matters as they arise.

Education and Experience Information:
- A . degree is required.
- Must be licensed to practice law in the United States, with Massachusetts preferred, and maintain bar status in good standing.
- Experience should include working with a top law firm or a combination of law firm and in-house experience.

Experience and Skills:
- Knowledge of general areas of law including the Investment Advisers Act, general investment management, securities law, ERISA, CFTC/NFA, contract, and transactional work.
- Experience with institutional investment services and/or products, and related legal documentation such as agreements and offering memoranda.
- Preferably experienced with alternative investments and private fund structures, including primary, secondary, and direct (co-investment) transactions in private equity, venture capital, and real estate.
- Experience with litigation, regulatory, risk, and compliance matters.
- High levels of accuracy and attention to detail.
- Strong interpersonal skills, demonstrating collaboration, flexibility, initiative, and excellent teamwork.
- Ability to organize and manage multiple projects, documents, and legal matters simultaneously.
- Comfortable communicating with all levels of employees, with strong written and verbal skills.
- Capable of producing high-quality output in a fast-paced environment.
- Ability to take direction and work independently with minimal supervision.
- A sense of humor is valued.
