Associate Counsel

Job Responsibilities
The Associate Counsel is responsible for assisting the Business and Legal Affairs (BALA) team in the formal review and negotiation of standard BALA contracts. This includes master service agreements, statements of work, consulting agreements, technology and data license agreements, and contract templates. The role involves drafting, reviewing, and assessing client and vendor agreements for the agency and its affiliates. The Associate Counsel collaborates with all agency departments to provide legal counseling, evaluate current contractual risks, and ensure that contractual protections and processes are adequate for business transactions. Proficiency in utilizing the BALA electronic contracts database and repository, specifically Laserfiche, is required. The job's main duties and responsibilities are divided as follows:
- Contract Review and Negotiation: 65%
- Counseling / Contract Risk and Processes: 20%
- Administrative: 15%

Education and Experience Information
Candidates must have 1-2 years of experience working in a law firm or an in-house legal department of a corporation. Experience in contract or transactional drafting focusing on general corporate contracts is required. A bachelor’s degree from an accredited university and a Juris Doctor from an ABA-accredited law school are necessary. Candidates must be members in good standing of the New York State Bar. Additional experience in media/entertainment and professional knowledge in digital advertising, social media, and data protection/privacy is considered a plus.

Salary Information
The salary range for the Associate Counsel position is between $110,000 and $135,000 annually. The actual base salary for a successful applicant may vary based on factors such as individual skill sets, experience, training, education, licensure/certifications, and qualifications for the role. The company employs an aptitude and competency-based hiring approach.
