Job Title: Sr. Director, Legal M&A
Job Responsibilities:
- Serve as the primary legal advisor to the Corporate Development and Strategy teams on M&A and investment transactions, regulatory, and integration matters.
- Lead the legal evaluation, negotiation, and conclusion of M&A and investment transactions, including due diligence, negotiation of term sheets, and definitive transaction agreements.
- Draft, review, and negotiate deal documentation strategically with external counsel, counterparties, and internal stakeholders.
- Prepare M&A-related materials for the board of directors and committees, collaborating with finance, tax, HR, and brand companies.
- Partner with Corporate Development and Strategy teams to evaluate and execute global transactions.
- Support the Treasury function on corporate finance matters, including hedging, swap transactions, and banking relationships.
- Contribute to corporate governance and compliance efforts, including regulatory matters, board materials, and SEC/public company matters.
- Collaborate with internal teams (Brand teams, Finance, Accounting, HR, etc.) to ensure alignment and smooth execution.
- Coordinate trainings, best practices, and information sharing on M&A, competition, and related regulatory issues with the brands.
- Provide practical legal advice and support on various matters to the legal team and senior management.
Education and Experience Information:
- . from a nationally or internationally recognized law school with excellent academic credentials.
- Admission in good standing to a State Bar in the United States.
- Minimum of 6-8 years of M&A experience from a major law firm or corporate law department.
- Experience with M&A-related regulatory issues, integration, and general corporate matters.
- Strong negotiation, drafting, and verbal communication skills.
- Ability to identify and address legal issues with pragmatic business solutions.
- Excellent organizational skills and attention to detail, capable of managing multiple simultaneous transactions.
- Ability to read and understand financial statements.
Salary Information:
- The base salary range for Connecticut and the NYC-metro area is $252,000-$308,000.
- In addition to a competitive base salary, the role is eligible for an annual bonus and equity grant.
