Job Title: Associate General Counsel
Job Responsibilities:
- Legal Counsel and Support: Provide legal advice and counsel to various departments on global legal and business issues. Draft, review, and negotiate contracts, including commercial, vendor, licensing, and employment agreements. Conduct legal research and analysis on global legal issues. Assist with corporate governance, board and committee meetings, shareholder matters, and legal entity administration. Advise on intellectual property matters, including trademark, copyright, and patent protection. Advise on employment law matters, including hiring, termination, discrimination, and harassment. Assist in compliance, monitoring global legislation and regulations, and review and implementation of policies. Assist with drafting, reviewing, and filing required US SEC filings.
- Business Development Strategy: Provide legal support for business development initiatives, including M&A transactions and strategic partnerships. Advise on and mitigate legal and regulatory risks associated with new business ventures domestically and internationally. Identify and implement legal strategies to support the company's overall business objectives.
- Team Leadership and Management: Lead and mentor a small team of legal professionals. Foster a positive and inclusive work environment and provide coaching, guidance, and professional development opportunities to team members. Delegate effectively and ensure efficient workflow within the team. Recruit, hire, and onboard new team members.
Education and Experience Information:
- . from an accredited law school and admission in good standing to practice law in at least one . state, preferably in Washington, ., Maryland, or Virginia.
- 10+ years of relevant legal experience with 5+ years of in-house experience, preferably within a technology company.
- Strong understanding of corporate law, commercial law, and other relevant areas of law.
- ITAR/export control knowledge preferred.
- Ability to prioritize and undertake mission-critical tasks, providing exceptional service to various stakeholders.
- Ability to communicate clearly, concisely, and professionally with all levels of management regarding complex legal issues.
- Strong analytical and problem-solving skills with the ability to work independently and as part of a team.
- Highly organized and able to manage multiple projects and deadlines effectively.
- Strong ethical and professional judgment.
