Job Responsibilities:
The Corporate Counsel will report directly to the Associate General Counsel, Commercial & Corporate (AGC). This mid-level licensed attorney will offer legal advice, services, and counsel on a range of in-house legal practice areas, with a focus on commercial business. The role involves close collaboration with commercial teams on various commercial agreements and arrangements.
Key responsibilities include:
- Drafting, reviewing, and negotiating a wide variety of commercial agreements to support the company's multi-national operations. These agreements range from routine contracts to highly complex transactions, including supply and manufacturing contracts, distribution and sales agreements, and technology-related agreements.
- Providing commercial support and legal advice to cross-functional company teams, serving as a liaison with functional teams and leaders on the status and strategy to negotiate and complete agreements and projects.
- Creating and revising contract templates as needed, participating in and developing training on template use, and updating templates to reflect changes in applicable law, company policies, and best practices.
- Monitoring applicable federal, state, and international laws, rules, and regulations, advising business partners on relevant changes and trends, and providing training as needed.
- Utilizing the Contract Lifecycle Management software system to ensure integration of contract templates and playbooks, preparing instructions and training materials, and conducting training sessions.
- Influencing team members within the organization by identifying and analyzing options that mitigate risk while driving business priorities.
- Identifying and implementing projects and protocol improvements as a key member of the legal team.
- Providing input and best practices research and recommendations into company policies.
- Managing additional responsibilities and projects as legal department and business priorities warrant.
- Providing coverage for other members of the legal team as needed and expanding areas of responsibility over time.

Education and Experience Information:
- A Bachelor’s degree and Juris Doctor degree from an accredited law school are required.
- An active California Bar license or the ability to qualify as a CA Registered In-House Counsel is necessary.
- The candidate should have strong academic credentials.
- 5-7 years of progressively responsible commercial legal experience in a law firm and/or corporation, including at least 3 years in-house legal practice, are required.
- The candidate should have at least 4 years of experience drafting and negotiating commercial agreements, including supply, manufacturing, distribution, sales, master services, independent contractor, marketing, operations, and software licenses.
- Experience in the Consumer Packaged Goods industry, operations, and/or procurement is a significant advantage.
- The candidate should demonstrate a practical approach to legal communications, contract drafting, and problem-solving, with the ability to translate legal issues into clear guidance for non-lawyers.
- Proficiency with Contract Lifecycle Management systems and processes is required.
- Excellent verbal and written communication and presentation skills are necessary, along with strong business judgment and the ability to assess legal risk while thinking strategically.
- The candidate should have a strong client service orientation, the ability to organize and supervise complex projects, and manage multiple projects with timely responses to urgent business demands.
- Being a team player who can work independently and think strategically is important.
- Comfort with ambiguity, urgency, ongoing prioritization, risk calibration, and change is necessary.
- Spanish language proficiency is a plus.
- Additional experience in areas such as litigation, corporate finance, corporate governance, real estate, labor and employment, privacy, intellectual property, import/export, food safety, and regulatory compliance is welcome.
