Job Title: M&A & Corporate Counsel

Job Responsibilities:
- Provide strong transactional legal advice to the M&A team and senior business leaders across the organization. This includes engaging in proactive issue-spotting, risk assessment, and problem-solving.
- Serve as the lead negotiator and primary drafter on M&A transactions, which involves drafting and negotiating purchase agreements, letters of intent, term sheets, and related documentation.
- Coordinate closely with deal teams, clients, and subject matter experts to ensure documents align with business and legal goals.
- Lead efforts regarding legal due diligence, including reviewing documents and disclosure schedules, as well as managing closings and post-closing integrations.
- Draft and negotiate a wide range of other corporate and commercial agreements, such as joint venture agreements, confidentiality and non-disclosure agreements, and customer and vendor contracts.
