Job Title: Contracts Specialist
Job Responsibilities:
- Draft, review, interpret, and negotiate a variety of contracts and other legal documents with a focus on sales contracts and non-disclosure/confidentiality agreements.
- Master the company’s standard form contracts as well as acceptable alternative language based on experience in negotiating contract provisions for the company.
- Participate in and/or lead negotiations related to contractual terms and conditions.
- Serve as a central point of contact to facilitate contractual activities from inception to completion for primarily regional internal clients and assist in managing workflow for contracts in queue.
- Interpret contractual provisions to analyze possible legal and business exposure and ensure that the company's contract terms are being followed.
- Understand legal terminology, including warranties, limitation of liability, indemnification, and force majeure.
- Understand the company’s insurance program to instruct insurance provisions negotiations.
- Advise business contacts on compliance with company legal policies and procedures.
- Provide guidance on contract interpretation and breach of contract matters, including initial follow-up for tortious interference matters, whether sent or received by the company, in collaboration with the regions.
- Motivate and communicate effectively with individuals both inside and outside of the organization, particularly with vendors and customers.
- Observe all laws and regulations and maintain awareness of regulatory changes and their impact on contracts.
- Assist in the review and development of company contract templates.
Education and Experience Information:
- Holds a degree/college diploma or certificate in law, paralegal, or related legal studies (experience in lieu is considered); Bachelor’s degree preferred.
- 3+ years of progressively professional experience in contract administration and/or management (., contract review, drafting, interpretation, and negotiation) within a law firm, corporate legal department environment, or similar (experience in lieu is considered).
- Experience with common law jurisdictions is an asset.

- Strong verbal and written communication skills.
- Strong organizational, analytical, and drafting skills, including attention to detail and a problem-solving mindset.
- Understanding of legal formalities, terms, and principles.
- Comfort in working with both Canadian and . internal and external clients is an asset.
- Maturity to interface and communicate effectively with a large number of diverse internal groups, including all levels of employees, in-house legal counsel, external legal counsel, customers, consultants, and vendors.
- Strong interpersonal skills in forming and maintaining good relationships with colleagues; respects the ideas and opinions of others.
- Ability to be flexible and adaptive in handling urgent matters, multitask projects efficiently, and be results-oriented.
- Well-developed sense of professionalism and integrity.
- Established working knowledge of Microsoft Office and Google Suite, as well as the ability to learn additional software and database management.
