Senior Counsel
Job Title: Senior Counsel
Job Responsibilities:
This position acts in an advisory capacity regarding legal matters to executive, line, and staff organizations within the company. The role assists the company and its subsidiaries at all levels in identifying and minimizing risks and reducing legal exposure in relation to existing and future operations of the company. Members of the department support the company in two broad respects:
- Counseling on legal and risk matters, including project, corporate, and merger and acquisition risks, and advising throughout project pursuit and execution—from contract negotiation to early identification and resolution of project risks to dispute resolution.
- Assisting the company in satisfying applicable compliance and regulatory requirements and mitigating risks on an enterprise-wide basis.
The position represents the company in negotiations with third parties and their counsel, government agencies, and other outside parties. It evaluates the impact of existing and proposed regulations, court decisions, and laws, including any proposed changes in the law that might affect company policies and operating procedures. Key responsibilities include:
- Developing negotiation positions and strategies for company transactions.
- Performing analyses of complex legal issues and evolving legal theories as they relate to the company's business.
- Advising and counseling management on legal and business matters and risk management; acting as liaison with outside counsel, client representatives, vendors, subcontractors, and governmental agencies, both domestic and foreign.
- Reviewing various contracts, leases, and other corporate legal documents; making recommendations for modification, revision, and clarification of documents as needed.
- Developing standard documents and performing review of joint venture and partnership documents, secrecy and licensing agreements, contracts, and other corporate documents.
- Preparing powers of attorney, officers' certificates, minutes, resolutions, and other corporate documents for domestic and foreign subsidiaries.
- Other duties as assigned.
Education and Experience Information:
- Accredited professional law degree based on country requirements and ten (10) years of work-related experience.
- A professional license, certification, or registration that may be required to practice law in the applicable jurisdiction; some locations may have additional or different qualifications to comply with local requirements.
Preferred Qualifications:
- Experience working in either private practice and/or corporate or government environment.
- Applicable license(s) and registration(s) in the area of specialty or discipline.
- Outstanding project management, organizational, and critical thinking skills.
- Excellent communication and writing skills.
- Highly organized, detail-oriented, with strong ability to prioritize.
- Demonstrated experience in a broad range of substantive legal and business areas.
- Flexibility, versatility, and ability to deal with multiple issues, priorities, and personnel is expected and required.
- Capacity to collaborate with others and outstanding time-management abilities are essential.
- Demonstrated ability to work with and manage outside counsel and deal with internal clients at many different levels within an organization.
- Proficient in the use of computers, including the use of word processing, e-mail, spreadsheets, and electronic presentation programs.
Salary Information:
The salary range for the position is 160,000 to 302,000. The market rate for the role is typically at the mid-point of the salary range; however, variations in final salary are determined by additional factors such as the candidate’s qualifications, relevant years of experience, geographic location, internal pay equity, and prevailing market conditions for the specific role.
