Job Title: Corporate Counsel
Job Responsibilities:
- Support general global corporate matters, including corporate governance, subsidiary management, mergers and acquisitions (M&A), and other strategic transactions.
- Manage global subsidiary governance and compliance, ensuring coordination of matters for the Board of Directors and its committees, and ensure all legal entities adhere to applicable laws and corporate policies.
- Assist company activities and policies for legal compliance and adherence to domestic and foreign government policies and regulations.
- Provide legal support across various company functions and collaborate with senior legal team members and business stakeholders.
- Draft and review agreements to ensure alignment with company policies and risk tolerance.
- Support M&A transactions through due diligence, document review, and post-closing activities.
- Review and provide input on corporate agreements, including real estate leases and finance documents, under the supervision of senior counsel.
- Collaborate with outside counsel and internal stakeholders to support risk mitigation strategies related to contracts, transactions, operations, and litigation.
- Contribute to the development and refinement of standard form agreements and support legal operations process improvements.
- Provide legal support on labor and employment matters, including workplace policies, employee relations, global employment compliance, and coordination with HR on day-to-day employment issues.
Education and Experience Information:
- 5+ years of experience as a corporate lawyer at a top-tier law firm or in-house legal department with at least 3 years focused on corporate legal matters, or 5+ years of legal experience with a mix of law firm and in-house roles, ideally in a technology firm.
- Solid experience in corporate law, including corporate governance, real estate, and intellectual property, and familiarity with M&A processes, including due diligence and post-closing integration, as part of broader corporate responsibilities.
- Exposure to or experience supporting compliance efforts of global subsidiaries.
- Prior exposure or experience with labor and employment matters, including a willingness to develop expertise in areas such as global employment compliance, workplace policies, and cross-border employment issues.
- Familiarity with reviewing technology-related agreements, including Software as a Service (SaaS), software licenses, and/or services agreements.
- Sense of urgency and bias toward action.
- Ability to act as a consultant on legal matters providing expertise in known areas as well as researching into unfamiliar areas.
- Respect for different points of view and the ability to take constructive feedback, plus high integrity, excellent interpersonal skills, and a genuine desire to support the team.
- Proven success working with teams cross-functionally and cross-border.
- Excellent communication and presentation skills.
- JD degree or equivalent degree.
Salary Information:
- In the spirit of pay transparency, the typical base salary range for this position is $130,100 - $188,290 plus corporate bonus potential.
