Job Title: Associate Counsel
Job Responsibilities:
- Review, draft, negotiate, and advise on a variety of contracts including employment agreements, equity documents, independent contractor agreements, vendor agreements, client agreements, collaborative agreements, and confidentiality agreements.
- Collaborate with multi-functional transactional teams, such as corporate and business development, accounting, sales, and human resources, to develop company policy, process, and procedure while ensuring legal compliance.
- Assist internal and external legal counsel in providing guidance on legal matters, anticipating, mitigating, and advising on potential legal issues across corporate groups, client engagements, and third-party relationships.
- Advise corporate departments and business groups on privacy laws, regulations, and related industry standards impacting the company, coordinating advice from external counsel as needed.
- Work with external counsel and internal business teams to respond to subpoenas and litigation discovery requests.
- Support merger and acquisition activities by collecting, reviewing, and preparing information for due diligence.
- Review and revise internal legal policies, processes, and procedures.
- Perform other duties as assigned.
Education and Experience Information:
- Juris Doctor degree from an ABA-accredited law school is required.
- Member in good standing of at least one State Bar or the District of Columbia State Bar is required.
- Preferred experience in privacy and data protection laws and regulations, including . State and federal consumer protection and privacy laws, GDPR, and other privacy laws.
- Preferred experience in reviewing, drafting, and negotiating contracts.
- Two or more years of related work experience.
Skills:
- Excellent verbal and written communication skills.
- Ability to provide legal guidance in a practical, business-oriented manner to non-lawyer company representatives.
- Advanced analytical, problem-solving, and time management skills.
- Strong interpersonal skills and the ability to establish good professional relationships with internal clients, management, and legal colleagues.
- Excellent planning, organizational, and prioritization skills with the ability to multi-task on multiple high-priority projects.
- Good judgment, including good business judgment.
- Preferred contract review, drafting, and negotiation experience.
- Proficient in Microsoft Office products.
Salary Information:
- Pay Type: Salary
- Minimum Hiring Rate: $130,
- Maximum Hiring Rate: $150,
