Job Title: Fund Formation Associate (Junior/Mid-Level)
Job Responsibilities:
- Advising funds throughout all stages of their operations. This includes preparing offering materials and drafting partnership, limited liability company, and other governing agreements.
- Negotiating with investors and drafting side letters to ensure clarity and compliance with regulatory standards.
- Counseling fund managers on various securities laws and structuring the acquisition and disposition of investments.
- Providing guidance on other tax and regulatory matters that may impact fund operations.
- Advising clients on general fund operations, which covers a wide range of topics such as conflicts of interest, compliance matters, and employment, consulting, and commercial relationships.
- Assisting with the admission of new members to general partner and management company entities.
- Drafting and negotiating separation agreements and advising on fund, general partner, and management company loans.
Education and Experience Information:
- Candidates must have obtained their JD between 2020 and 2024.
- Previous experience at a large law firm is required, indicating the necessity for familiarity with the high-pressure environment and complex legal issues typical of top-tier law practices.
- A high level of academic achievement from a nationally recognized law school is necessary, reflecting the demanding nature of the role and the high standards of the law firm.
- There is a strong preference for candidates who are already licensed to practice law in the State of California or Texas, as applicable, and are in good standing, which highlights the need for immediate readiness to engage with local legal matters without the delay of bar admission processes.
Salary Information:
- The salary range for this position is between $225,000 and $365,000, which underscores the high level of responsibility and expertise expected from candidates in this role.
