Job Title: Private Fund/Investment Management Attorney

Job Responsibilities:
- Engage in sophisticated and challenging transactional work for clients in Florida and nationwide.
- Work with venture capital, private equity, and/or real estate sponsors on all aspects of fund formation.
- Structure and form investment vehicles such as private funds, joint ventures, special purpose vehicles, alternative investment vehicles, feeder funds, and co-investment entities.
- Prepare offering documents including limited partnership agreements, private placement memorandums, and subscription agreements.
- Handle capital raising and side letter negotiations.
- Ensure compliance with applicable . laws and regulations.
- Counsel institutional investors in the negotiation and management of their investments as limited partners in venture capital, private equity, and/or real estate funds.
- Advise on compliance with the Investment Company Act, the Investment Advisers Act, and state and federal securities laws.

Education and Experience Information:
- Juris Doctor degree from an ABA accredited law school.
- Active bar license for the state in which the candidate will work.
- A minimum of 7 years of private fund and/or investment management experience.
- Experience advising on compliance with the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
- Project management skills, including the ability to successfully manage and prioritize multiple projects and deadlines.
- Excellent written and verbal communication skills, as well as analytical, problem-solving, and decision-making skills.
- Ability to work independently and maintain a high degree of confidentiality.

- The position can be based in any of the following offices: Akron, Columbus, or Toledo, Ohio; Sarasota, St. Petersburg, or Tampa, Florida; Minneapolis, Minnesota; Charlotte, North Carolina; or Charleston, South Carolina.
- Open to a hybrid/remote candidate for the right fit.
- Physical requirements include sitting in a static position for up to one-half hour at a time, lifting and carrying up to 20 pounds occasionally, and bending and stooping occasionally.
