Law firm is seeking an experienced Corporate Associate Attorney to join its Boston office, with immediate availability. The role is designed for candidates who possess strong leadership qualities and wish to be an integral part of a growing office. The ideal candidate will have excellent communication and administrative skills, be highly organized and detail-oriented, and capable of multitasking without sacrificing efficiency. The candidate should be responsible and able to represent the law firm and its clients in a manner that enhances its reputation. A passion for success, a strong record of academic achievement, proven research and writing skills, and a professional approach to handling matters are minimum requirements. Candidates must be licensed to practice in Massachusetts and be members of the bar in good standing.
Job Responsibilities
- Possess 3-8 years of continuous, specific, and verifiable corporate experience.
- Review, draft, and negotiate various commercial contracts, including but not limited to equity and asset purchase agreements, shareholder agreements, partnership and operating agreements, loan agreements, license agreements, financing agreements, service agreements, non-disclosure agreements, and restrictive covenant agreements.
- Conduct research on legal issues related to a wide range of business transactional matters and provide analysis within the client’s budget and time constraints.
- Assist in due diligence processes for mergers, acquisitions, and dispositions.
- Manage a high volume of clients and workload responsibility.
- Provide clients with advice concerning contract terms and the legal implications of business operations and transactions.
- Assist in developing strategies to manage risk exposure and prevent legal problems from arising.
Education and Experience Information
- Strong oral and written communication skills are essential.
- Knowledge of laws and rules, as well as state and federal court procedures, forms, deadlines, filing requirements, and portals, is required.
- Ability to organize factual and legal data into clear and logical arguments is necessary.
- Must be able to handle sensitive matters on a confidential basis.
- A high degree of initiative, mature judgment, and discretion is required.
- Must have excellent organization and time management skills.
