Job Title: Mid-Level Associate
Job Responsibilities:
- Conduct and supervise research, due diligence, and information management.
- Draft and review documentation, advising on precedents and market standards.
- Debrief at the end of a matter or at other appropriate stages.
- Assist senior associates and partners in formulating legal strategy based on research of law and analysis of facts affecting client matters in cross-border corporate transactions, including public and private mergers and acquisitions, divestitures, restructurings, and de-SPAC transactions, as well as on corporate governance and securities law matters.
- Apply knowledge of the law to analyze the legal ramifications of transactions and the required structuring of affairs to assure the most favorable terms and successful implementation for clients.
- Meet with clients to gain a thorough understanding of their cases and advise on changes in laws and compliance under the supervision of a senior attorney.
- Collaborate with junior associates to delegate and manage tasks effectively.
Education and Experience Information:
- Juris Doctor (JD) or foreign equivalent required.
- Three (3) years of experience at an international law firm.
- Experience in working on corporate legal transactions, including documentation and other legal documents related to corporate transactional law.
- Skilled in researching, analyzing, reviewing, and drafting memoranda, contracts, and other agreements and legal documents relating to corporate transactions, especially in private equity and public M&A.
- Experience in implementing project management strategies to organize outstanding items and manage different workflows.
- Ability to apply legal analysis to identify legal issues and provide solutions.
- Experience in directly advising corporate clients on applicable laws and regulations related to legal and regulatory compliance as they apply to business transactions.
- Experience in managing complex legal transactions with multi-party representation and negotiating terms on behalf of clients.
- Must be admitted to the practice of law in New York.
- Telecommuting and/or working from home may be permissible pursuant to company policies. When not telecommuting, must report to the work site.
Salary Information:
- The base salary range offered for this role will be between $260,000 and $365,000 per year, 40 hours per week.
- This range represents the law firm's good faith and reasonable estimate of the range of possible compensation at the time of posting.
- Actual compensation will be dependent upon a number of factors including, but not limited to, the candidate’s relevant experience, performance, qualifications, as well as the needs of the law firm.
- The total compensation package for this position may include discretionary bonuses and other benefits.
