Job Title:
Senior Counsel, Corporate and Business Development

Job Responsibilities:
The Senior Counsel, Corporate and Business Development is responsible for providing legal advice, guidance, and support in the areas of Corporate Development, Business Development, and Alliance Management. Key responsibilities include:
- Leading drafting, negotiations, structuring, and counseling on transactions such as mergers and acquisitions, strategic equity investments, strategic divestitures, global licenses, collaborations, partnerships, and other related transactions.
- Identifying and resolving critical legal and business issues arising from transactions.
- Overseeing and managing the legal due diligence process.
- Partnering with Corporate Development and Business Development clients to ensure strategic alignment in all transactions, with the ability to escalate matters as necessary.
- Managing business relationships and advising clients on strategic alliance partnerships and collaborations.
- Contributing to the development of a high-performance transactions legal team and fostering a collaborative culture with peers in the legal department and other key functions.
- Managing and organizing antitrust approvals and negotiations with antitrust authorities and regulators when appropriate.
- Demonstrating a service-oriented approach to advising internal client groups.
- Upholding the mission and values of the company.

Education and Experience Information:
- A law degree is required.
- Must be qualified to practice law in New Jersey or have the ability to obtain a NJ in-house counsel limited license.
- A minimum of 10 years of legal experience is required.
- Experience in drafting and negotiating complex transaction agreements related to the bio/pharmaceutical or life-sciences industry, including license agreements, collaboration agreements, acquisitions, and divestitures.
- An understanding of the bio-pharmaceutical/life-sciences industry is necessary.
- Excellent interpersonal skills, problem-solving skills, integrity, risk assessment capability, decision-making ability, and strategic thinking are essential.
- Must possess excellent verbal and writing skills and business judgment.
- Ability to communicate effectively with management and senior management personnel.
- Capable of training and developing other team members.
- Ability to work independently and perform effectively against broad objectives.
- Must have a strong work ethic.

Salary Information:
The starting compensation for this position in California, Massachusetts, and Washington ranges from $243,470 to $295,000, with additional incentive cash and stock opportunities based on eligibility. The starting pay rate considers job characteristics, required skills, and job location. Final compensation will be based on demonstrated experience. Benefits eligibility may vary depending on the job and location.
