Job Overview:
A prominent national law firm is actively seeking a mid-level Corporate Transactions Associate to join its highly regarded Mergers & Acquisitions and Corporate Finance practice. This position is ideal for attorneys with 4–6 years of sophisticated transactional experience who are looking to handle high-profile deals and collaborate across practice areas. Duties:

  • Advise clients on M&A transactions, leveraged buyouts, and complex corporate finance matters

  • Draft, review, and negotiate purchase agreements, stock and asset transfer documents, shareholder agreements, and related deal documentation

  • Coordinate closely with clients, investment bankers, and third-party advisors

  • Manage client engagements and ensure timely completion of transaction milestones

  • Support corporate governance and compliance efforts post-transaction

  • Collaborate with subject matter experts across the firm on regulatory, tax, and other due diligence issues

  • Contribute to business development and client relationship initiatives

Requirements:

  • 4 to 6 years of relevant experience in a law firm setting with emphasis on M&A and corporate finance

  • Prior exposure to managing complex commercial transactions from start to finish

  • Experience working closely with clients, boards, and C-level stakeholders

  • Demonstrated ability to handle multiple priorities with attention to detail

Education:

  • Juris Doctor (.) degree from an accredited law school

Certifications:

  • Active license to practice law in the relevant jurisdiction (.)

  • Must be in good standing with the applicable state bar

Skills:

  • Excellent drafting, negotiation, and analytical skills

  • Strong written and verbal communication abilities

  • Ability to thrive in a collaborative, fast-paced legal environment

  • Client service-focused with exceptional organizational skills

  • ESOP M&A experience or a strong interest in the area is considered a plus
