Summary:
The Policy and Corporate Counsel at **Members Only** (IS) is responsible for providing legal guidance and support to the Public Policy/Government Relations and Research teams. This role involves monitoring and analyzing legal trends, risks, and opportunities that could impact the nonprofit sector, as well as providing legal support to the Chief Operating Officer and managing relationships with outside counsel. The ideal candidate will have a Juris Doctor degree and 5-7 years of experience working with nonprofit organizations or other tax-exempt entities. This is a full-time position with a salary range of $190,000-$200,000 per year.

Responsibilities:
- Serve as a strategic legal advisor to the Public Policy/Government Relations and Research teams.
- Monitor, analyze, and respond to key executive actions, regulatory developments, and litigation that may impact the sector or IS members.
- Develop and deliver educational resources for the nonprofit community.
- Provide legal support to the Chief Operating Officer, including managing relationships with outside counsel and advising on corporate governance matters.
- Maintain expertise on exempt organization law, charitable organization governance, and federal regulations.
- Advise and inform program and project activities related to exempt organization law.
- Manage external legal relationships.
- Support the Communications team in reviewing responses to media and developing statements and press releases.
- Embed IS' core values into day-to-day operations.
- Other duties as assigned.
Qualifications:
- Juris Doctor (.) degree from an accredited law school and active license to practice law in at least one . jurisdiction.
- 5-7 years of experience working with nonprofit organizations or other tax-exempt entities.
- Exceptional understanding of the nonprofit sector.
- Expertise in federal policy matters related to exempt organizations.
- Deep knowledge of tax law, exempt organization law, and federal oversight requirements.
- Familiarity with the rules and regulations governing nonprofit engagement in public policy advocacy, lobbying, and non-partisan voter engagement.
- Experience in risk mitigation strategies.
- Comfortable reviewing contracts and partnership agreements.
- Familiarity with intellectual property protection.
- Ability to operate at both a strategic and tactical level.
- Strong analytical skills and problem-solving abilities.
- Excellent communication skills.
- Appreciation for the role of the nonprofit sector and membership associations.
- Strong project management skills and ability to work against deadlines.
- Solutions-oriented mindset.
