Job Title: Corporate Senior Associate
Job Responsibilities:
- Advise law firm clients on mergers and acquisitions, joint ventures, and other corporate transactional matters.
- Manage transactions and conduct due diligence.
- Assist in managing client relationships.
- Engage in a variety of assignments across disciplines, including cross-border mergers and acquisitions, private equity, debt finance, capital markets, joint ventures, strategic alliances, commercial contracts, securities offerings, and corporate governance.
Education and Experience Information:
- Must possess a . Juris Doctor Degree.
- Must be admitted to practice in a US State Bar and be in good standing. Admission to the State Bar of the office location is expected if not currently admitted.
- A minimum of seven years of meaningful experience in a law firm handling mergers and acquisitions and other corporate transactional matters is preferred.
Professional Skills & Experience:
- Experience in mergers and acquisitions, dispositions, auctions, carve-out transactions, joint ventures, and/or international business transactions.
- Experience in US securities transactional and regulatory matters, including 34 Act compliance, public and private debt and equity offerings, proxy statement preparation, annual meeting cycle management, and public company governance matters is a plus but not required.
Personal Skills:
- Demonstrated ability to work in a team environment and exercise sound and practical judgment.
- Excellent verbal and written communication and organizational skills.
- Strong analytical skills.
- Ability to be flexible, composed, and prioritize and handle multiple matters simultaneously with a high level of competence and accuracy.
- Commitment to professional ethics and client confidentiality.
