Job Title: Corporate Lawyer
Job Responsibilities:
- Oversee corporate governance matters, which includes the preparation and review of board and committee materials, and the development of governance programs.
- Manage domestic and international subsidiary governance, covering formation, registration, compliance, and ongoing management.
- Collaborate with finance, investor relations, and other stakeholders on disclosure and regulatory issues.
- Provide strategic support on corporate transactions and other legal initiatives as they arise.
- Advise on securities law compliance and lead the preparation of periodic SEC and stock exchange filings, such as 10-K, 10-Q, 8-K, proxy statements, Section 16 reports, and other 1934 Act filings.
Education and Experience Information:
- JD degree and active bar membership in at least one . jurisdiction.
- 4-7+ years of relevant experience at a top law firm and/or in-house legal department, focusing on public company representation and securities compliance.
- Deep familiarity with SEC regulations, exchange listing standards, and public company governance practices.
- Exceptional judgment and communication skills, with the ability to provide clear, practical legal advice across all levels of the organization.
- Comfortable operating in a high-growth, fast-paced environment and adept at navigating ambiguity.
Salary Information:
- The annual salary hiring range for this position is $208,000 - $245,000 USD.
- Compensation is based on factors unique to each candidate, including job-related skills, qualifications, education, experience, and location.
- The total compensation package for this position, in addition to base compensation, may include incentive compensation, bonus, equity, and benefits.
- Some sales compensation programs offer the potential to achieve above-targeted earnings for those who exceed their sales targets.
