Job Title: Assistant Corporation Counsel
Job Responsibilities:
The Assistant Corporation Counsel will serve as in-house counsel to the City and related entities that issue municipal bonds and facilitate loans. The role involves handling corporate governance, litigation audits, federal disclosure issues, and documentation for municipal bonds and complex debt instruments. The responsibilities include:
- Assisting the City and related entities in complying with federal continuing disclosure requirements and practices over the life of each bond issue to ensure consistency with municipal market and regulatory expectations.
- Attending all local development corporations' board meetings and providing counsel on corporate governance and disclosure matters related to regulatory compliance at federal, state, and local levels.
- Coordinating with City agencies, including the State and City Comptroller, to provide due diligence and report financial information in accordance with the SEC and other applicable finance laws.
- Collaborating with City agencies to develop post-issuance compliance policies and procedures in line with securities laws.
- Tracking, reviewing, researching, analyzing, and filing all ratings of City bonds and related issuers through the Electronic Municipal Market Access (EMMA) portal.
- Conducting due diligence on material compliance with offering documents of the City and its related issuers to assess the necessity of voluntary disclosure updates.
- Assisting in the review and analysis of and preparation of comments on proposed laws, regulations, and rules relating to the City's financings, including MSRB and SEC amendments.
- Preparing and reviewing documents related to the issuance of debt instruments, including public offering documents.
- Producing transaction documents under strict deadlines and collaborating with senior policymakers in New York City.
- Assisting division attorneys in managing and overseeing certain City-facilitated loan programs.
Education and Experience Information:
Minimum Qualifications:
Applicants must be admitted to practice law in the State of New York, with a minimum of two years of relevant legal experience subsequent to bar admission. Experience working with large transaction teams is also required.
Preferred Skills:
- Experience in corporate governance activities required by local, state, or federal regulatory compliance.
- Experience in preparing due diligence, such as litigation letters for financial audits.
- A working knowledge of disclosure and filing requirements related to the . Securities and Exchange Commission (SEC).
- Familiarity with complex debt instruments such as bonds, loans, and public offering documents.
- Knowledge of capital project financing and related transactions, not-for-profit and/or corporate governance, local, state, and federal regulatory compliance.
- Understanding of New York Not-For-Profit Law, federal securities laws, federal income tax issues, and complex debt instruments.
Salary Information:
The salary range for the position is $97, to $118,.
