Corporate Counsel Job Summary:
- Full-time exempt position within the legal department of **Members Only** in Cypress, CA
- Responsible for legal and compliance matters, including drafting and negotiating agreements, overseeing litigation, and ensuring regulatory compliance
- Seeking a candidate with 4+ years of experience at a top law firm or in-house organization, strong business acumen, and excellent organizational skills
- Reports to EVP, General Counsel

Responsibilities:
- Draft, negotiate, and manage commercial agreements and IP licenses to protect and further the company's interests
- Clear soft IP issues and maintain template agreements
- Stay current on relevant laws and regulations related to data privacy and marketing and advertising
- Assist with implementing long-term strategic goals

Requirements:
- 4+ years of experience in commercial transactions, preferably in the entertainment/media, apparel, or brand and licensing industry
- Active member of the California Bar with a JD from an ABA-accredited institution
- Working knowledge of soft IP and interest in advising on promos, sweepstakes, and data privacy a plus
- Strong contract drafting skills and ability to work efficiently in a fast-paced environment
- Detail-oriented and organized with excellent communication skills and ability to interact with internal and external stakeholders
- Positive attitude, ability to establish relationships and trust, and provide pragmatic advice while managing risk
- Proficiency in MS Office programs

Salary Information:
- Full-time exempt position with a salary range of $145,000 to $165,000 annually

Experience Information:
- 4+ years of experience in commercial transactions, preferably in the entertainment/media, apparel, or brand and licensing industry
