Job Title: Commercial Counsel (US Remote)
Job Responsibilities:
- Provide legal advice, guidance, and expertise on routine transactional agreements and legal matters, making decisions that could significantly impact the company's revenue and risk.
- Responsible for preparing Request for Proposal responses and negotiating, interpreting, and administering contracts, subcontracts, and licensing agreements.
- Prepare contracts for review, ensuring compliance with company policy and applicable laws and regulations.
- Develop and implement robust risk management strategies.
- Draft, review, edit, finalize, and negotiate routine transactional agreements to meet business and legal requirements, including sales/supply and reseller/distribution agreements, end user license agreements, professional services agreements, hosting agreements, Software as a Service (SaaS), subscription agreements, and statements of work (SOWs).
- Manage contract documentation and approval flows to ensure consistency with internal processes.
- Assist with contract disputes by understanding issues, researching solutions, and drafting settlement agreements.
- Research and respond to general legal inquiries related to contract disputes, regulatory issues, and new business initiatives.
- Provide counsel and guidance to achieve the company's business objectives while complying with applicable laws and regulations, performing cost-benefit analysis to identify risks.
- Support business and product development processes by providing key inputs and advice on legal risks and issues, prioritizing risks, and ensuring compliance with government and customer requirements.
- Maintain, revise, and update contract templates.
- Proactively develop and maintain technical knowledge in specialized areas, staying up to date on current trends and best practices.
- Work under general supervision, exercising reasonable judgment to escalate complex matters to the manager.
Education and Experience Information:
- Requires a Juris Doctor Degree.
- At least 2+ years of experience in corporate transactional, contracts negotiation, and/or commercial transaction experience.
- Admission to the Bar of at least one state is required or admitted to practice in at least one jurisdiction if international equivalent.
- Legal authorization to work in the . indefinitely is required, and employer work permit sponsorship is not available for this position.
Salary Information:
- Target Base Salary Range: $85,000 - $110,000 USD.
- Pay within this range varies and depends on job-related knowledge, skills, and experience.
- The actual offer will be based on the individual candidate.
Additional Information:
- Travel requirements are under 10%.
- No relocation provided.
