Overview:
- Seeking an associate to join Cozen O’Connor's Emerging Business & Venture Capital Group
- Multiple locations available: Miami, Minneapolis, New York, Philadelphia, or Pittsburgh
- Ideal candidate has 2-5 years of experience working with startups and emerging growth companies
- Must have experience with formations, financings, venture capital and private equity transactions, securities compliance, and other general corporate matters
- Previous experience at a venture capital fund, in-house at a technology startup, or reputable law firm with a focus on emerging growth companies preferred
- No search firms will be used to fill this position

Responsibilities:
- Work with startups and emerging growth companies on a variety of legal matters
- Assist with formations, financings, venture capital and private equity transactions, and securities compliance
- Handle joint ventures, spin-offs, mergers and acquisitions, and other general corporate matters
- Advise on employment, consulting, and equity compensation-related matters
- Stay up-to-date on relevant laws and regulations
- Communicate effectively with clients and colleagues
- Collaborate with other attorneys within the firm

Qualifications:
- 2-5 years of experience working with startups and emerging growth companies
- Experience with formations, financings, venture capital and private equity transactions, and securities compliance
- Strong understanding of corporate law and business transactions
- Previous experience at a venture capital fund, in-house at a technology startup, or reputable law firm with a focus on emerging growth companies preferred
- Excellent communication and interpersonal skills
- Ability to work independently and in a team environment
- Strong attention to detail and organizational skills
- Juris Doctor degree from an accredited law school and admission to the bar in the state of practice
