Job Title: Associate Senior Counsel-Procurement Law
Job Responsibilities:
- Provide enterprise-wide support and guidance for global commercial contracting activities, with a focus on health, wellness, digital-related contracts, and international matters.
- Collaborate with Legal, Compliance, and business colleagues and report directly to the Associate Chief Counsel Enterprise Corporate Law.
- Lead in drafting and negotiating contract terms, templates, and guidelines, including standard alternative clauses.
- Maintain a deep understanding of privacy laws, particularly in healthcare, pharmacy, and health digital services related industries.
- Work with international Legal colleagues on contracting and related issues.
- Collaborate with clients, Legal colleagues, and matrix partners to advance contracting work.
- Focus on contracts involving innovations and associated intellectual property issues.
- Identify, evaluate, and report on potential risks in connection with commercial contracting; engage with senior management regarding key risk issues.
- Develop and provide training to all levels of the organization; possess strong presentation skills, capable of presenting to senior management.
- Negotiate various types of licensing and services transactions with domestic and international suppliers, focusing on limiting the company's liability, protecting confidentiality and intellectual property rights, and safeguarding privacy rights.
- Resolve disputed vendor license and contract matters consistent with company objectives.
- Maintain and update a set of approved contract templates for use by the Global Procurement operations.
- Create and present training materials on contracting and related matters to the Global Procurement team and other contracting staff.
- Routinely explore creative interpretations or applications of law.
- Effectively collaborate with critical business partners, including Compliance, Privacy, Information Technology, Operations, and Corporate/Business Development.
- Manage outside counsel on discrete matters as required.
- Share knowledge and skills in areas of subject matter expertise with other legal counsel within the company.
- Lead stakeholder discussions to gather information and input to achieve goals.
- Work with Legal, Compliance, and business clients to develop, implement, and coordinate contracting and governance strategies.
- Proactively identify risks of non-compliance applicable to third-party contracts.
Education and Experience Information:
- . degree required with bar membership and a minimum of 8+ years of experience.
- Prior in-house experience preferred.
- Strong preference for deep experience in healthcare and digital services contracts, including cloud agreements.
- Strong knowledge of the regulatory environment affecting business, including HIPAA and related healthcare and pharmacy regulations.
- Demonstrated contract drafting experience.
- Comfortable working with ambiguity and adaptable to change.
- Excellent written and verbal communication skills, with the ability to tailor communication across a variety of audiences.
- Proven track record of program management, including effective leadership and on-time execution of strategic and tactical objectives.
- Demonstrated ability to work independently while managing multiple projects and priorities.
- Ability to identify issues, explain impacts, and propose solutions for process improvement.
- Highly collaborative self-starter with a strong work ethic, sense of urgency, and a willingness to learn new areas and regulatory needs.
- Organizational agility and ability to foster and manage positive and influential working relationships in a matrix environment at all levels of management.
