Job Title: Counsel - Commercial Transactions- Hybrid
Job Responsibilities:
The Counsel – Commercial Transactions position provides comprehensive support and guidance for contracting activities both within the . and globally, with a specific focus on buy-side indirect procurement contracts and vendor management. The role involves close collaboration with Procurement, Legal, Compliance, and business colleagues and requires direct reporting to the Associate Chief Counsel Enterprise Corporate Law. Key responsibilities include:
- Contract Drafting and Negotiations: Drafting and negotiating terms for buy-side indirect procurement contracts, including developing templates and guidelines for contracting and standard alternative clauses for various commodities.
- International Contracting: Collaborating with global internal legal colleagues and vendors on contracting and related issues.
- Risk Management and Compliance: Identifying, evaluating, and reporting potential risks associated with commercial contracting and disputes; consulting with senior legal, corporate, and client management on key risk issues.
- Training, Education and Presentations: Developing and delivering training to all organizational levels, with strong presentation skills to engage senior management.
- Negotiating various consulting, services, licensing, and technology transactions with domestic and international suppliers, focusing on limiting the company's liability, protecting confidentiality and intellectual property rights, and safeguarding customer privacy interests.
- Resolving disputes in line with the company's objectives.
- Managing contract template language for use by Procurement operations.
- Supporting senior-level attorneys in mergers, acquisitions, and financing activities.
- Creating and presenting training materials on contracting to Procurement and other staff.
- Supporting sell-side contracting efforts concerning vendor relationship impacts.
- Engaging in creative interpretations or applications of law.
- Collaborating with critical business partners, including Compliance, Privacy, Information Technology, operations, and Corporate/Business Development.
- Managing outside counsel on specific matters as required.
- Sharing expertise with other legal counsel within the company.
- Leading stakeholder discussions to gather information and input to achieve goals.
- Working with Legal, Compliance, and business clients to develop and implement contracting and governance strategies.
- Proactively identifying risks of non-compliance in third-party contracts.
- Engaging in process improvement and project efforts related to the role.
Education and Experience Information:
- Juris Doctor required.
- 3-5 years of commercial contracting experience in roles with increasing responsibility, with a focus on negotiating and drafting vendor transactions.
- Strong drafting and communication skills.
- Familiarity with healthcare and pharmacy is advantageous.
- Ability to understand complex transactions, including intellectual property, international/multinational, and privacy issues.
- Ability to provide actionable legal advice in a matrixed business environment.
- Identifying legal issues on complex commercial matters and recommending solutions to mitigate risk.
- Personable, highly collaborative individual capable of influencing others and building strong professional relationships.
- Consistent sound judgment and incisive analytical abilities.
- Highly organized with strong attention to detail.
