Job Responsibilities:
As a Commercial Transactions Counsel at the company, you will be responsible for managing all aspects of commercial contracts and working closely with various departments such as Sales, Marketing, Research & Development, and Global Operations. Your primary duties will include:
- Leading the drafting, reviewing, and negotiating of commercial agreements, including software licenses, sales, distribution, partnership, supply, subcontracting, agency, and confidentiality agreements, in accordance with company policies, guidelines, and risk tolerance.
- Managing contract negotiations in alignment with strategies defined by relevant functions and legal teams.
- Collaborating with internal business clients and the executive team to obtain necessary internal approvals before finalizing contracts.
- Providing proactive legal counsel based on a strong understanding of legal and regulatory frameworks and industry standards applicable to the company's products and services.
- Offering prompt legal advice and appropriate solutions to a wide range of complex commercial legal questions and requests from internal clients across various functional groups.
- Developing strategies for organizing contracts within a document management system.
- Understanding the company's business model and applying that knowledge to improve business processes for support, negotiation, approval, and execution of commercial contracts while minimizing risk factors with customers and vendors.
- Contributing to other legal team needs, goals, and initiatives as needed.
Education and Experience Information:
Candidates for the position of Commercial Transactions Counsel should possess the following qualifications and experience:
- A JD or equivalent degree and admission to at least one US state bar.
- At least 4 to 7 years of experience working at a law firm and/or as in-house counsel supporting multinational corporations.
- Direct experience negotiating commercial technology contracts for a multinational corporation.
- Strong presentation and communication skills, with the ability to communicate complex issues clearly and simply in both writing and in person.
- Technical excellence and a professional, commercial approach to problem-solving.
- Ability and desire to work collaboratively and autonomously.
- Capability to navigate complex issues in both developed and emerging markets.
- Willingness to support a small legal team with a variety of issues, including data privacy, employment, and information technology issues.
