Responsibilities:
Drafting and negotiating definitive transaction agreements, including equity and asset purchase agreements, merger agreements, joint venture agreements, and other strategic transaction documents.
Leading all other aspects of a strategic transaction, including supervising more junior M&A associates, coordinating with subject matter experts, and assisting to manage the client relationship and lead negotiations with transaction counterparties.
Conducting and managing due diligence reviews.
Assisting with the preparation and filing of regulatory and other governmental approvals.
Developing and managing project plans and budgets.
Providing legal support and advice to clients on a variety of corporate and commercial matters.
Assisting with the training and development of junior associates.
Requirements:
6-8 years of relevant experience in M&A transactions, preferably with a focus on public and private company mergers and acquisitions and other strategic transactions.
Experience as a lead associate on M&A transactions, with a strong understanding of the transaction process and the ability to manage and lead a team.
Superior academic credentials and/or law firm experience.
Excellent verbal, written, and interpersonal skills.
Strong organizational and project management skills.
Ability to work independently and as part of a team.
Willingness to travel as needed.
