Job Title: Mergers & Acquisitions (M&A) Tax Manager
Job Responsibilities:
The Mergers & Acquisitions (M&A) Tax Manager is responsible for serving as a technical resource for the . federal income tax aspects of due diligence and mergers and acquisitions. Key responsibilities include:
- Solving complex tax, accounting, and business issues related to developing tax structures and providing tax due diligence services for both buy-side and sell-side transactions.
- Analyzing target-company tax information to understand historical trends, quantify historic and future tax exposures, and identify planning opportunities. This also involves participating in interviews with tax and accounting service providers and management.
- Preparing efficient tax structures for mergers and other corporate reorganizations.
- Conducting tax impact modeling to quantify attribute availability, basis step-up, and structural impact on client and target tax profiles.
- Leveraging technical knowledge and experience to provide effective project management and practice development, delivering timely and responsive services and products that meet or exceed client expectations.
- Assisting with proposals and business development, including developing marketing materials.
- Writing and co-authoring technical articles for publication.
- Developing and participating in public speaking opportunities at tax conferences and events.
- Occasionally traveling domestically to visit clients and attend firm events.
Education and Experience Information:
- A Bachelor’s degree in accounting or equivalent is required; a Master’s degree in Taxation or a JD with an LLM in taxation is preferred.
- A CPA is required. If not already a CPA, candidates must meet the educational requirements to obtain the license upon hire in the state of employment.
- A minimum of 4 years of tax experience is required, preferably with a public accounting firm or law firm.
- Experience must include significant tax due diligence and merger and acquisitions tax consulting.
- Significant experience working with private equity and strategic buyers and sellers is essential.
- Candidates should possess the ability to analyze complex business and transactional situations.
- Experience in supervising and training staff is necessary.
- Strong project management and organizational skills are required.
- Excellent interpersonal, verbal, and written communication skills are essential.
- Ability to work effectively both as part of a team and independently is required.
- Ability to handle multiple priorities, tasks, and simultaneous projects is necessary.
Salary Information:
The compensation range for this position in California is typically between $161,000 and $279,000. Actual compensation may depend on factors such as qualifications, work experience, skills, and geographic location. The position may also be eligible for an annual discretionary bonus.
