The Director, Assistant General Counsel – Securities is a key role within **Members Only**’s global Legal team. The successful candidate will have the opportunity to work with a dynamic team and contribute to the organization’s success. This role requires a deep understanding of legal and regulatory requirements and corporate governance trends. The Director, Assistant General Counsel will also be responsible for managing corporate secretary functions for a publicly traded company. This is a full-time, hybrid position available in 5 locations: Ann Arbor, Michigan; Alexandria, Virginia; Overland Park, Kansas; Boston, Massachusetts; and Philadelphia, Pennsylvania.

Director, Assistant General Counsel - Securities Responsibilities:

- Provide legal advice and guidance on corporate securities and SEC reporting and compliance matters, including SEC filings, shareholder proposals, executive compensation disclosures, and more.
- Collaborate with internal and external legal teams and other departments to manage legal risks effectively.
- Partner with cross-functional teams on reviewing press releases, presentations, and other communications to ensure accurate and timely disclosures.
- Manage the annual shareholder meeting and lead the preparation of the proxy statement.
- Develop and maintain internal policies and controls to ensure compliance with securities laws.
- Counsel on corporate-related matters such as executive compensation, equity plans, and stock administration.
- Monitor regulatory and legislative developments in areas such as cyber security and sustainability to ensure compliance.
- Support subsidiary governance and legal entity management operations globally.
- Act as the primary point of contact with regulatory bodies such as the SEC and NYSE.
- Take ownership of various disclosure procedures and internal controls.
- Occasional travel for board and internal meetings.

Qualifications:

- JD or LLM from an accredited law school with active bar membership in at least one US state.
- 10+ years of relevant corporate and securities experience at a law firm or in-house at a public company.
- Deep knowledge of SEC rules and regulations, corporate governance principles, and other applicable laws and regulations.
- Experience managing corporate secretary functions for a publicly traded company and maintaining corporate records.
- Excellent communication, collaboration, and organizational skills.
