Job Overview:
An established and nationally respected law firm is seeking a Corporate Associate with 3–5 years of experience to join its Private Equity & Finance practice. The ideal candidate will possess a strong background in investment management, private fund formation, and corporate transactional matters. Location:

Duties:
Advise clients on investment management regulations and fund formation
Provide counsel on formation of open- and closed-end private investment funds
Represent institutional investors and family offices in private equity, venture capital, and joint ventures
Draft and negotiate investment-related and corporate documents, including:
Investment management and sub-advisory agreements
Private placement memoranda (PPMs)
LLC operating agreements
Limited partnership agreements
Subscription agreements
Side letters
Review and provide guidance on investment marketing materials
Support M&A, strategic joint ventures, and general corporate matters
Requirements:
3–5 years of experience in investment management and private fund formation
Proven ability to work on complex transactional and regulatory matters
Excellent written and verbal communication skills
Strong client service orientation
Ability to work independently and collaboratively in a team environment
Effective problem-solving skills and ability to offer practical legal advice
Bar admission in good standing in the jurisdiction of intended practice
Education:
Juris Doctor (.) from an accredited . law school
Certifications:
Active bar license in at least one . jurisdiction
Skills:
Proficient in drafting and negotiating complex fund and corporate documentation
Familiarity with SEC and investment adviser regulatory frameworks
Experience advising institutional clients and high-net-worth investors
Strong organizational and time management skills
Business-minded approach with attention to legal detail
