Job Title: Senior Counsel
Job Responsibilities:
The Senior Counsel will be an integral part of the Midstream and Marketing legal team at the company, primarily offering legal support to the marketing segment's business activities. This encompasses a wide range of responsibilities including:
- Providing legal assistance for the company's domestic and international marketing business in crude oil, NGL, natural gas, and power. This includes support in contract negotiation and interpretation of trade enabling agreements like ISDAs, NAESBs, and EEIs, as well as in physical purchase, sale, and exchange transactions at various levels such as lease level, market hub, and maritime.
- Offering legal advice and support on regulatory issues that arise within the marketing business, particularly those related to FERC, CFTC, and transactions traded on exchanges such as NYMEX and ICE.
- Supporting internal functions like trade control, KYC, credit, and treasury to enable the marketing business. This involves the negotiation and review of confidentiality agreements, netting agreements, broker agreements, credit insurance, and other related agreements.
- Providing backup legal support for the midstream business, which includes assistance with crude oil and natural gas gathering agreements, gas processing agreements, midstream infrastructure development, CO2 transportation, and other operational issues.
Education and Experience Information:
Qualifications for the Senior Counsel position include:
- A Juris Doctor degree from an accredited law school with strong academic credentials.
- Membership in a state bar in good standing.
- Preferred candidates will have at least six years of experience, with some experience at a leading law firm.
- Excellent academic credentials and interpersonal skills are essential.
- Strong drafting skills and a commercial mindset are required, along with the ability to work with senior commercial managers.
- The candidate should be capable of coordinating issues with other legal and business functions.
- Experience with marketing contracts, including general terms and conditions used in the crude oil, NGL, natural gas, and power marketing and trading industries, is essential, with an emphasis on natural gas and power.
- Experience with trade control processes and contract management systems is also needed.
