Job Title: NDA Attorney
Job Responsibilities:
- Draft and negotiate Non-Disclosure Agreements (NDAs), including release letters, non-solicits/no-hires, standstills, and non-circumvents for sophisticated private equity firms, investment advisors, family offices, and portfolio companies.
- Manage a high volume of contracts under tight deadlines across multiple industries, focusing on Mergers & Acquisitions (M&A) and financing transactions.
- Collaborate effectively with clients’ in-house legal teams, executives, deal professionals, and investment banks.
- Provide responsive service to client questions and requests, ensuring clarity and satisfaction.
- Track the status of NDAs and meticulously record final terms.
Education and Experience Information:
- Candidates must possess a Juris Doctor (JD) degree from an accredited law school.
- Membership in the bar in at least one relevant jurisdiction is required.
- A minimum of 2 years of transactional or contracts experience is necessary, with M&A and/or financial institutions experience being advantageous.
- Exceptional organizational skills and a strong attention to detail are essential.
- Candidates should have the ability to draft and negotiate a high volume of documents under tight deadlines.
- Strong negotiation skills, including problem-solving and decision-making, are required.
- Confidence in communicating legal and business issues succinctly via email and phone is necessary.
- A high degree of professional ethics and integrity is expected.
- Ability to work from a dedicated home office with reliable internet is required.
Salary Information:
- The position offers a salary starting from $150,000 per year.
- It is a full-time role with a work schedule from Monday to Friday.
Additional Information:
- The position is remote, although working hours will be based on Eastern Standard Time.
- The law firm is based in New York, but candidates from any state are considered.
- The ideal candidate should be comfortable working independently and as part of a collaborative team, with strong writing and communication skills.
