Job Title: General Counsel, Ventures, Strategy & M&A

Job Responsibilities:
The General Counsel of Ventures, Strategy, and M&A will provide legal counsel to the Corporate Development function and all businesses within the company in executing joint ventures, minority investments, and other corporate transactions. The role involves close collaboration with corporate development, human resources, finance, controllership, other specialists within the legal function, and the general counsels of various business units to ensure proper execution of transactions that align with strategic priorities. Key responsibilities include:

- Partnering with the Corporate Development function to provide legal support for a variety of transaction activities, including acquisitions, divestitures, joint ventures, partnerships, minority investments, venture investments, and debt financings.
- Providing advice on deal terms and structuring.
- Independently managing transaction processes from start to finish.
- Ensuring continuous improvement of and compliance with internal transaction policies and procedures.
- Driving coordination and collaboration across the legal function in support of corporate transactions.
- Enabling consistency in documentation and approach to risk in corporate transactions.
- Supporting, implementing, and monitoring post-closing actions such as indemnification claims, earn-outs, and post-closing adjustments, as well as legal integration/separation.
- Supporting the company’s management and oversight of joint ventures and ensuring strong governance procedures.
- Selecting and managing outside counsel and other vendors, including evaluating the quality and cost of services.
- Handling other corporate law matters as required.

Education and Experience Information:
- Candidates must possess a Law Degree (JD).
- A minimum of 5 years of legal experience is required, ideally gained through a combination of law firm and in-house experience at a global public company, particularly in practice areas relevant to the job responsibilities.
- Candidates must be licensed to practice law in at least one state within the .
- Verifiable knowledge of corporate transactions, . public company disclosure, governance, and compliance is essential, along with experience providing counsel on a variety of transaction types.
