Job Title: Assistant General Counsel – Transactional and Commercial
Job Responsibilities:
The Assistant General Counsel – Transactional and Commercial at the company will play a pivotal role in structuring, negotiating, and executing various corporate transactions, particularly focusing on business development, joint ventures, mergers and acquisitions (M&A), and strategic transactions. The position requires a deep understanding of deal structuring, contract negotiation, and due diligence. Key responsibilities include:
- Providing legal advice on business development, joint ventures, partnerships, strategic transactions, and commercial agreements.
- Drafting, negotiating, and reviewing term sheets, letters of intent (LOIs), purchase agreements, partnership and joint venture agreements, investment agreements, and related transaction documents.
- Conducting and overseeing due diligence processes to identify key legal risks and opportunities.
- Collaborating with cross-functional teams, including business development, corporate development, finance, tax, and compliance, to assess deal feasibility and risk mitigation strategies.
- Managing regulatory filings, compliance requirements, and post-closing integration activities.
- Supporting capital-raising activities, including private equity, venture capital investments, debt financing, and securities offerings.
- Providing legal guidance on corporate structuring, shareholder agreements, and investment agreements.
- Advising on equity and debt financing transactions, including convertible notes, preferred stock issuances, and credit facilities.
- Working closely with business development, finance, and operations teams to drive deal execution.
- Managing relationships with external legal counsel, investment bankers, and consultants.
- Providing strategic legal counsel to senior executives on deal structuring and corporate growth opportunities.
Education and Experience Information:
- Juris Doctor (JD) from an accredited law school.
- Active membership in a state bar.
- 7+ years of experience in M&A, corporate transactions, and deal structuring at a top law firm or in-house legal department.
- Strong expertise in structuring and negotiating complex transactions and commercial contracts.
- Proven experience handling complex business development, joint venture, and strategic transactions.
- Excellent negotiation, drafting, and analytical skills.
- Ability to manage multiple high-profile transactions in a fast-paced environment.
- Strong business acumen with the ability to balance legal risks and commercial objectives.
- Must have the legal right to work in the .
Salary Information:
At the company, a wide range of factors are considered when determining compensation, including the candidate's background and experience. These considerations can cause compensation to vary. The expected base salary for this position is in the range of $218,000 to $249,500 and will depend on skills, qualifications, and experience. Additionally, this role might be eligible for discretionary short-term and long-term incentives.
