VP, Corporate Counsel, PGIM Private Capital, Energy & Project Finance
Job Responsibilities:
- Structuring, negotiating, and supervising the documentation of transactions in project, infrastructure, oil & gas, power, and corporate finance involving senior and mezzanine debt and/or equity, including highly structured and leveraged deals.
- Acting as a strategic partner to PPC businesses in building and managing a diverse investment portfolio.
- Building and maintaining professional relationships with the leadership team and key stakeholders.
- Managing relationships with outside counsel.
- Tracking and monitoring regulatory trends impacting the business and strategizing with PPC management on appropriate actions.
Education and Experience Information:
- A minimum of 6 years of experience in project, oil & gas, power, and/or infrastructure finance transactions, preferably with a major law firm or financial institution.
- Experience in the US or international representation of lenders, developers, sponsors, or investors in power projects or infrastructure financings, and representation of lenders, investors, or producers in oil and gas financings.
- Expertise in drafting and negotiating financing agreements, credit support documents, intercreditor agreements, and closing documentation.
- Prior experience representing insurance companies, banks, or other institutional investors in project finance transactions is an advantage.
- Cross-border/international experience is a plus.
- Familiarity or prior experience with federal securities law and secured/structured investments.
- Admittance to practice law in New Jersey or another . state is required. If not licensed in New Jersey, a New Jersey In-House Counsel license must be obtained within 60 days of employment.
- Desired qualifications include workout experience and foreign language skills.
- Strong leadership skills and the ability to work effectively with demanding clients and colleagues are critical.
Salary Information:
- The salary range for this role is from $216, to $292,, with specific pricing varying based on factors such as geographic location, candidate experience, and skills.
