Job Overview:
A well-established law firm is seeking a Capital Markets Associate Attorney with 3–5 years of corporate law experience to join its Silicon Valley office. This role involves advising clients on SEC-registered securities offerings, ongoing securities law compliance, and corporate governance. The ideal candidate is a collaborative team player with a strong sense of ownership and interest in contributing to the innovative and entrepreneurial spirit of the Silicon Valley market. Experience in venture capital financings—particularly for technology and life sciences companies—is highly valued.

Location:

• Palo Alto, California

Duties:

• Advise clients on SEC-registered equity and debt securities offerings

• Handle ongoing securities law compliance and public company reporting obligations

• Provide guidance on corporate governance matters

• Support venture capital financings and private offerings (preferred)

• Collaborate closely with internal teams and clients to drive projects to completion

• Contribute to client teams handling both local and national matters

Requirements:

• 3–5 years of relevant corporate and securities law experience

• Background in a large or sophisticated mid-size law firm environment

• Experience managing transactions and taking ownership of legal projects

• Strong understanding of public company disclosure requirements

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admission to the California Bar or eligibility to practice under California rules

Skills:

• Deep knowledge of federal securities laws and corporate governance

• Experience drafting and reviewing offering documents and SEC filings

• Strong organizational and project management skills

• Excellent written and verbal communication abilities

• Team-oriented mindset with ability to work independently and manage client relationships
