Kutak Rock LLP, a leading national law firm, is seeking a detail-oriented Corporate Paralegal to join our Corporate Department in our Omaha office. Our firm is committed to providing exceptional client service and fostering a collaborative and inclusive workplace.

Position Summary:
The Corporate Paralegal will work closely with lawyers on a variety of general corporate, mergers and acquisitions, securities, and commercial lending matters. This is a hybrid position, offering a combination of remote and in-office work.

Responsibilities:
- Draft and file entity formation documents
- Handle filings with Secretary of State and other recording offices throughout the country
- Obtain copies of various corporate filings and records
- Prepare and submit Annual or Biennial Report filings
- Obtain employer identification numbers
- Draft and submit notices for publication
- Create and file UCC forms
- Prepare, file, track and maintain UCC filings
- Handle UCC filing research requests in all states
- Prepare search result summaries
- Manage relationships with corporate service providers
- Prepare Form D, Form 10-D and other securities filings
- Draft closing documents, manage closing processes and prepare closing transcripts
- Organize and maintain electronic and paper filings
- Handle accounting responsibilities
- Consult with supervising lawyer(s) whenever legal judgment, legal opinion or legal advice is necessary
- Assist with other duties as assigned

Qualifications:
- Strong organizational skills with the ability to manage large quantities of information
- Ability to work well under pressure, meet deadlines and prioritize assignments
- Thrives in a fast-paced environment
- Able to work both collaboratively as part of a team and independently
- Attention to detail
- Excellent spelling, grammar, and proofreading skills
- Excellent written and verbal communication skills
- Ability to handle confidential information with discretion
- Strong interpersonal skills and ability to interact with attorneys, clients, staff, and visitors
- Proficiency in Microsoft Office suite, specifically Word and Excel

Education and Experience:
- High school diploma or equivalent required
- Preference given to candidates with a Bachelor's degree and/or successful completion of an accredited legal assistant or paralegal program
- Prior experience in a law firm and/or in-house corporate law department preferred
- Experience with project and information management

Position Information:
- Salary range: $53,000-$75,000
- Position status: Non-exempt
- Workplace type: Hybrid (remote and in-office)
