A law firm is seeking a driven and detail-oriented Junior Business Transactional Attorney to join its dynamic legal team. This role offers an exciting opportunity to engage in complex business and corporate transactions, including mergers and acquisitions, entity formation, contract negotiation, and regulatory compliance. The ideal candidate will thrive in a fast-paced environment, collaborating with colleagues to provide strategic legal solutions to clients. This position offers a remote work option and does not require a personal book of business or business development activities, though entrepreneurial ambition is welcomed and supported.

Key Responsibilities

  • Handle a broad spectrum of sophisticated business and corporate transactions, ensuring legal compliance and risk mitigation.
  • Draft, review, and negotiate a diverse array of legal agreements, including but not limited to:
    • Ancillary documents for mergers and acquisitions
    • Organizational governance documents (LLC operating agreements, partnership agreements, bylaws, etc.)
    • Employment and independent contractor agreements
    • Joint venture and licensing contracts
    • Intellectual property development agreements
    • Loan documents, promissory notes, and purchase and sale agreements
  • Manage multiple projects concurrently while maintaining attention to detail and meeting critical deadlines.
  • Work collaboratively with a team of legal professionals to deliver high-quality service to clients.
  • Provide practical and strategic legal counsel to businesses, ensuring sound decision-making and compliance with corporate regulations.
  • Exhibit strong legal drafting and analytical abilities to efficiently produce well-structured and persuasive legal documents.
  • Contribute to a culture of innovation and efficiency, offering insights and solutions to enhance workflow and client outcomes.

Qualifications & Experience

  • Experience: 1-6 years of relevant experience in corporate and transactional law, including handling complex business dealings.
  • Education: Juris Doctor (.) degree from an accredited law school.
  • Bar Admission: Must be admitted to the Maryland Bar or willing to obtain admission through waiver.
  • Skills & Attributes:

    • Exceptional legal writing and contract negotiation skills.
