Corporate Transactional Paralegal

Job Title: Corporate Transactional Paralegal
Location: Seattle, WA
Experience: At least 10 years in corporate transactional law, preferably with experience in project finance

Responsibilities:
• Draft various legal documents including operating agreements, bylaws, certificates of incorporation, and legal opinions
• Prepare structure charts and steps memos for M&A and corporate refinancing/restructuring deals
• Manage preparation of final closing books and draft necessary stock certificates
• Handle UCC financing statement filings, amendments, and terminations
• File and obtain employer and tax identification numbers
• Perform corporate/transactional law and record keeping, including entity formation, annual reporting, and loan agreements
• Conduct nationwide lien and litigation searches and analyze results
• Maintain and update corporate records and minute books
• Research and analyze legal sources
• Communicate with attorneys and clients regarding project status and deadlines
• Manage inventory of closed transaction documentation and locate applicable precedent
• Assist with due diligence documentation and distribution of draft documents
• Develop and maintain positive relationships with clients and outside vendors
• Train incoming associates and summer associates, and supervise case assistants and junior paralegals
• Occasional travel for closing dinners and client events

Requirements:
• Bachelor's degree or equivalent experience
• Paralegal certificate preferred
• At least 10 years of experience in corporate transactional law, with knowledge of M&A and project finance
• Ability to work during regular office hours, with flexibility for longer hours during peak workload periods or for communication with parties in different time zones

Compensation and Benefits:
• Salary range of $88,000 - $146,000, based on market location and candidate's skills and experience
