Morrison Foerster LLP, an Am Law 50 law firm with 18 offices worldwide, is seeking a Contracts & Compliance Counsel to join our Conflicts department in our San Francisco, New York or Washington, . office. This is a unique opportunity to act as in-house counsel to the firm, with a focus on reviewing and responding to client Outside Counsel Guidelines (OCG) and engagement letters.

Responsibilities:

- Act as formally designated In-House Counsel to the firm, providing privileged discussions and advice on OCG review and compliance to General Counsel, partners, associates, and staff.
- Review, negotiate, and approve client OCGs and Standard Engagement Letters, identifying and escalating any issues with legal and strategic recommendations.
- Develop and document standard positions and responses on OCG provisions, working with Firm management and the OCG Review Team to address new or unusual provisions.
- Communicate and work with Relationship Partners to negotiate amendments to individual OCGs and provide summaries and redlines with rationales.
- Expedite OCG review, finalization, and execution, tracking and advancing status.
- Utilize advanced techniques to analyze and compare OCG provisions across all client OCGs and Firm administrative functions.
- Demonstrate knowledge of business needs and integrate OCG review and compliance expertise with Firm risk management guidelines.
- Assist in training on OCG and engagement letter processes, compliance, and risk management.
- Ensure all appropriate partners, administrators, and staff are knowledgeable and trained on OCG and engagement letter processes.

Salary Information:

- New York, San Francisco salary range: $200k to $260k
- Washington, . salary range: $180k to $240k
