A law firm seeks a skilled Distressed Debt/Commercial Real Estate Finance Associate to join its team. This position is tailored for an experienced attorney with 5-9 years of expertise in restructuring and distressed debt, particularly in representing institutional and private lenders in various commercial finance transactions.

Duties

  • Represent lenders and debt investors in both performing and defaulted commercial finance transactions, including real estate finance.
  • Handle front-end investment lending as well as back-end distressed debt enforcement, encompassing the origination, sale, and purchase of permanent and construction loans, participations, and mezzanine financing.
  • Advise on loan restructuring, workouts, and foreclosure processes.
  • Guide private equity firms, investors, and sponsors on investment fund management and strategic joint ventures.
  • Navigate real estate financing aspects, including advising on permanent financings, bridge financings, commercial mortgage-backed security financings, and preferred equity transactions.
  • Represent clients in the purchase and financing of distressed debt in the secondary market and assist lenders in change of control transactions, workouts, and Article 9 foreclosures.

Requirements

  • Juris Doctor (.) from an accredited law school.
  • Active license to practice law in good standing in the State of New York.
  • 5-9 years of experience in real estate law, with a focus on mezzanine loans and preferred equity transactions.
  • Strong negotiation, communication, and interpersonal skills, with a willingness to engage directly with clients and counterparties.
  • Ability to work independently as well as collaboratively with both junior and senior attorneys.

Education

  • Juris Doctor (.) degree from an accredited institution.

Certifications

  • Licensed to practice law in New York.

  • Proven ability in drafting legal documents and advising clients on complex financial transactions.
