Responsibilities:

- Provide oversight, guidance, and legal expertise on public company disclosures and compliance with securities laws and NYSE listed company requirements
- Assist with development and administration of policies and procedures related to securities matters
- Provide guidance on capital market activities and other finance and treasury matters
- Advise on corporate compensation matters and oversee inter-company restructuring and tax transactions
- Keep abreast of corporate and securities legislation and regulations, as well as NYSE listing requirements
- Support overall relationship among the Board of Directors, senior management, and outside partners
- Oversee corporate secretarial function and advise on corporate governance best practices
- Evaluate and consult on Director independence
- Provide business counsel to leaders on legal issues related to the Board of Directors and shareholders
- Keep abreast of corporate governance landscape and evolving investor expectations
- Oversee corporate governance for global subsidiaries and related party conflict evaluations
- Oversee administration of employee equity compensation plans and support senior leadership incentive compensation programs
- Document executive employment arrangements

Qualifications:

- Minimum of 15 years of relevant post-graduate professional employment law experience in corporate and securities law
- Extensive knowledge of and experience with securities regulations and governance, as well as NYSE listing requirements
- Admitted, active, and in good standing in at least one . state
