Corporate Transactional Paralegal - Join a Leading Law Firm in Portland, OR! Stoel Rives LLP is seeking a highly skilled and experienced Corporate Transactional Paralegal to join our team in Portland, OR. This is a fantastic opportunity to work with a dynamic group of attorneys and clients, and to play a key role in complex transactions with a significant project finance component. As a Corporate Transactional Paralegal, you will be a crucial part of our professional client teams and will have the opportunity to work directly with clients on a regular basis. Responsibilities: - Draft and review a variety of legal documents, including Operating Agreements, Bylaws, Certificates of Incorporation, and other transactional documents. - Prepare closing books and stock certificates for Mergers and Acquisitions and corporate refinancing/restructuring deals. - Manage and maintain corporate records and minute books. - Conduct research and analysis of legal sources. - Communicate regularly with attorneys and clients regarding project status and deadlines. - Train and supervise junior paralegals and case assistants. Requirements: - Bachelor's degree or equivalent experience preferred. - Paralegal certificate and at least 10 years of experience in corporate transactional law, with a focus on project finance. - Strong knowledge of Mergers and Acquisitions and Project Finance Transactions. - Excellent organizational and time-management skills. - Ability to work well under pressure and meet tight deadlines. - Strong communication and interpersonal skills. - Ability to travel occasionally for client events and closings. Working Hours: This is a full-time, non-exempt position with the potential for overtime compensation. The typical work schedule is 8:30 . to 5 ., Monday through Friday, with the ability to work longer hours as needed.
