Law Firm Seeking Fund Formation Associate in Baltimore Salary: Competitive and based on experience Experience: 2-6 years of large law firm experience Job Summary: McGuireWoods, a top-ranked corporate law firm, is seeking a Fund Formation Associate for their Baltimore office. This position will be a part of the Corporate and Private Equity Department and will work with a team of over 70 attorneys who specialize in private equity transactions. The firm consistently ranks among the top corporate law firms in the industry. Job Requirements: The ideal candidate will have 2-6 years of experience working in a large law firm, specifically in representing private fund sponsors and institutional investors. They should have a strong understanding of market fund terms and be able to identify and negotiate issues in fund documents. Experience with drafting limited partnership and limited liability company agreements in the private investment fund context is required, as well as knowledge of securities laws governing private placements. Responsibilities: • Work on all aspects of fund formation, including structuring, capital raising, compliance, and ongoing management of alternative investment funds • Draft and negotiate transaction documents and commercial agreements • Review fund documents on behalf of institutional investors • Prepare offering documents, including PPMs, and ensure compliance with securities laws • Interact with and advise legal and business professionals from start to finish Qualifications: • 2-6 years of large law firm experience representing private fund sponsors and institutional investors • Strong understanding of market fund terms and issues commonly negotiated in fund offerings • Experience with drafting limited partnership and limited liability company agreements in the private investment fund context • Knowledge of securities laws governing private placements • Excellent interpersonal skills and ability to work independently with clients and colleagues • Strong academic record and excellent writing and oral communication skills Location: This is a national search with a focus on the following markets: New York, Baltimore, Charlotte, Charlottesville, Chicago, Pittsburgh, Richmond, Dallas, Los Angeles - Century City, and Washington, .
